Action in Marchmont

Constitution of South Meadows Action Group

1. Name
The name of the group shall be South Meadows Action Group (SMAG)

2. Aims
The aims of the South Meadows Action Group will be:

  • To represent and advocate for residents affected by the placement of bin hubs in South Meadows, Marchmont, and surrounding areas.
  • To campaign for proper consultation and community-led solutions regarding waste management, street noise and other amenities or services.
  • To promote a clean, accessible, and environmentally respectful local environment.
  • To engage with local authorities, councillors, and relevant bodies to influence policy and practice on waste infrastructure.
  • To provide support for and liaise with Marchmont & Sciennes Community Council.

3. Membership
Membership is open to anyone who:

  • Lives in the South Meadows, Marchmont, or surrounding neighbourhoods.
  • Supports the aims of the group.

There will be no membership fee. A list of all members will be kept by the membership secretary.

4. Equal Opportunities
The group will not discriminate on the grounds of sex, race, sexual orientation, disability, gender reassignment, age, religion, political belief, or any other protected characteristic.

5. Officers and Committee
The group will elect a Chair (or Co-Chairs), and nominate  the positions of Secretary, Treasurer, and Membership Secretary at the Annual General Meeting (AGM). Up to four other committee members may be elected, with two additional members co-opted if needed. The committee will meet at least four times per year.

6. Meetings

  • AGM: Held annually. Notice will be given at least 3 weeks in advance.
  • Special General Meetings: Called upon request by the majority of the committee or 8 members.
  • Committee Meetings: Held as needed with 7 days’ notice.

7. Rules of Procedure
Decisions will aim for consensus. If needed, a simple majority vote will decide. The chair will hold a casting vote in the event of a tie.

8. Finances
If necessary, bank account will be maintained. Two unrelated signatories will be required for payments. Funds may only be used to advance the aims of the group. Records of income and expenditure will be maintained by the Treasurer and financial statements presented annually. A Chairman and the Treasurer must approve any out-of-pocket expenses incurred and claimed by members.

9. Amendments to the Constitution
May only be made at an AGM or SGM with a two-thirds majority vote.

10. Dissolution
If a meeting, by simple majority, decides that it is necessary to close down the group it may call a Special General Meeting to do so. The sole business of this meeting will be to dissolve the group.

If dissolved, any remaining funds will be donated to a local charity or community group agreed upon at the meeting.
